These Terms and Conditions ("Terms") govern your access to and use of the website located at www.aegistechnologiesinc.com (the "Site"), which is owned and operated by Aegis Technologies, Inc. ("Aegis", "we", "us", or "our"). By accessing or using the Site, you ("you" or "User") agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site.

1. Acceptance of Terms

By accessing, browsing, or otherwise using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting on the Site. Your continued use of the Site after any modifications have been posted constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically for changes.

2. Use of the Site

The Site is intended to provide information about Aegis Technologies, Inc. and its products, including but not limited to the Adjuster™ Adjustable Drop Nipple, the Dropster™ Reducing Nipple, and the Branchlet™ Welding Outlet (collectively, the "Products"). The Site also provides product documentation, authorized distributor information, and a means to contact Aegis.

You agree to use the Site only for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you agree not to:
(a) use the Site in any way that violates any applicable federal, state, local, or international law or regulation;
(b) use the Site to transmit or procure the sending of any advertising or promotional material, including any "junk mail," "chain letter," "spam," or similar solicitation;
(c) impersonate or attempt to impersonate Aegis, an Aegis employee, another user, or any other person or entity;
(d) engage in any conduct that restricts or inhibits any other person's use or enjoyment of the Site, or that, as determined by Aegis in its sole discretion, may harm Aegis or users of the Site or expose them to liability;
(e) use any robot, spider, scraper, or other automated means to access the Site for any purpose, including monitoring or copying any content on the Site, or use any harvested content to train artificial intelligence models; or
(f) introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

3. Intellectual Property Rights

All content on the Site, including but not limited to text, graphics, logos, images, photographs, product descriptions, data sheets, installation instructions, submittal sheets, and software (collectively, "Content"), is the property of Aegis Technologies, Inc. or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The names "Aegis Technologies," "Adjuster," "Dropster," and "Branchlet," along with all related names, logos, product and service names, designs, and slogans, are trademarks of Aegis Technologies, Inc. or its affiliates. You must not use such marks without the prior written permission of Aegis. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its Content for your personal, non-commercial informational purposes only. This license does not include the right to: (a) modify or copy the Content; (b) use the Content for any commercial purpose or public display; (c) attempt to decompile or reverse engineer any software contained on the Site; (d) remove any copyright or other proprietary notations from the Content; or (e) transfer the Content to another person or "mirror" the Content on any other server.

4. Product Information and Specifications

Aegis makes reasonable efforts to ensure that the product information and specifications displayed on the Site, including data sheets, UL Listings, FM Approvals, and compliance certifications, are accurate and up to date. However, the information provided on the Site is for general informational purposes only and does not constitute a warranty or guarantee of any kind.

Aegis reserves the right to modify, update, or discontinue any product or product specification at any time without prior notice. Product images displayed on the Site may not be exact representations of the actual products. All Products are designed for use in wet or dry automatic sprinkler systems in accordance with NFPA 13, 13R, and 13D, and must be installed in accordance with applicable codes and standards by qualified professionals.

5. Ordering and Sales

Products displayed on the Site are available for purchase through Aegis’ network of authorized distributors. The Site itself does not function as an e-commerce platform, and orders for Products cannot be placed directly through the Site. To locate an authorized distributor, Users may use the distributor locator feature on the Site or contact Aegis directly.

All sales of Products are subject to Aegis’ separate Sales Terms and Conditions, which govern pricing, payment, shipping, returns, warranties, and other terms of sale. In the event of any conflict between these Terms and the Sales Terms and Conditions, the Sales Terms and Conditions shall control with respect to the purchase and sale of Products.

6. User-Submitted Information

The Site may allow you to submit information through contact forms or other interactive features. By submitting any information to Aegis through the Site, you represent and warrant that: (a) the information you provide is accurate, current, and complete; and (b) you have the right to provide such information.

Aegis will use the information you submit through the Site in accordance with its Privacy Notice. You acknowledge that internet-based transmissions are never completely private or secure, and you understand that any information you send through the Site may be read or intercepted by others, notwithstanding any efforts by Aegis to protect such information.

7. Consent to Receive Automated Text Messages

By voluntarily providing your mobile telephone number to Aegis through the Site—whether via a contact form, sign-up form, or other interactive feature—and affirmatively consenting to receive text messages from Aegis, you expressly authorize Aegis Technologies, Inc. to send you recurring automated marketing and informational text messages at the mobile telephone number you have provided, using an automatic telephone dialing system or prerecorded or artificial voice technology, as applicable, including but not limited to messages relating to Aegis’ Products, promotions, events, and company updates. You understand and agree that your consent to receive automated text messages is not a condition of purchasing any Products or services from Aegis.

Message frequency may vary. Message and data rates may apply. You are solely responsible for any charges that your mobile carrier may impose for receiving text messages from Aegis. Aegis is not responsible for any delays in the delivery of text messages, as delivery is subject to the effective transmission by your mobile carrier.

You may revoke your consent and opt out of receiving automated text messages from Aegis at any time by replying "STOP" to any text message you receive from Aegis, or by contacting Aegis by any other reasonable means, including by phone at 610.676.0300. Upon receipt of your opt-out request, Aegis will process such request within ten (10) business days, and you will receive no further marketing text messages from Aegis unless you subsequently re-subscribe. Aegis may send you a single non-promotional confirmation message following receipt of your opt-out request to confirm that your request has been processed. For assistance, you may reply "HELP" to any text message you receive from Aegis. You can also request assistance by calling 610.676.0300.

By consenting to receive text messages from Aegis, you represent and warrant that: (a) you are the account holder for the mobile telephone number you have provided or are authorized to consent on behalf of the account holder; (b) the mobile telephone number you have provided is accurate and current; and (c) you are at least eighteen (18) years of age. Aegis reserves the right to modify or discontinue its text messaging program at any time without prior notice.

8. Third-Party Links

You acknowledge and agree that Aegis shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any such third-party websites or resources.

THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, AND SERVICES PROVIDED ON OR THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AEGIS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

AEGIS DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. AEGIS DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE CONTENT ON THE SITE IN TERMS OF ACCURACY, RELIABILITY, OR OTHERWISE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AEGIS TECHNOLOGIES, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR RELATED TO THE SITE; (C) ANY CONTENT OBTAINED FROM THE SITE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT AEGIS HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL AEGIS’ TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS EXCEED ONE HUNDRED DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.

11. Indemnification

You agree to defend, indemnify, and hold harmless Aegis Technologies, Inc., its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorneys' fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property right or privacy right; or (d) any claim that information you submitted to the Site caused damage to a third party.

12. Termination

Aegis reserves the right, in its sole discretion and without prior notice or liability, to terminate, suspend, or restrict your access to the Site, in whole or in part, for any reason or no reason, including but not limited to your breach of these Terms. Upon any such termination, your right to use the Site will immediately cease. You may also discontinue your use of the Site at any time.

All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 3 (Intellectual Property Rights), 8 (Third-Party Links), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), 13 (Governing Law and Jurisdiction), and 16 (Entire Agreement). Termination of your access to the Site shall not affect any rights or obligations that accrued prior to the effective date of such termination.

13. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Montgomery County, Pennsylvania, and you hereby consent to the personal jurisdiction and venue of such courts.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions of these Terms.

15. Waiver

No waiver by Aegis of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of Aegis to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

16. Entire Agreement

These Terms, together with the Sales Terms and Conditions (to the extent applicable) and any other agreement or terms or conditions for services, information, or licenses available through the Site constitute the entire agreement between you and Aegis Technologies, Inc. regarding your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
